Operating Agreement

This Agreement constitutes the entire terms and conditions for participating in the Memory Impression Lingerie Affiliate Program. In this Agreement, the term “Associate” refers to you (the participant), and “sponsoring website” refers to the web site from which you will link to Memory Impression Lingerie web site. In this Agreement, the term “you” or “your” refers to “the Associate”; “we” or “our” or “company” or "the company" refers to "Memory Impression Lingerie", or "Memory Impression". The term of this Agreement begins upon acceptance of your Affiliate Application and ends when terminated by either party after a written notice of termination has been given.

• Warning - Spamming and Its Consequences:

We forbid any of our associates from spamming. Any associate who uses our company name, or our web site in a bulk email would be removed immediately. Spamming is a large problem on the internet. Spamming, misuse of our material, our web site and/or our name can do severe damage to our company. It is against your associates Agreement to advertise our web site via unsolicited email. DO NOT send unsolicited email to promote us or to promote our products, or you will be in violation of your associate Agreement and your account will be terminated immediately, forfeiting all outstanding referral fees.

• Compensation:

We will pay you 20% of all sales generated through your web site. This is your referral fee. 

• Minimum Payout/Pay Dates:

We set a minimum pay out of $30.00. This means that we will not pay out until you reach a minimum of $30.00 in referral fee. Accounts with less than $30.00 will be carried forward to the next sales period, and until commissions have accumulated to a minimum of $30.00.

Sales are calculated from the 1st of the month to midnight of the last day of that particular month. All referral checks are mailed out within 12 business days after the last day of every month.

• Product Returns/Cancellation:

Memory Impression Lingerie will reverse commissions on orders that are returned or cancelled.

• Reversals/Charge backs:

When a sale is reversed, or a chargeback occurs as a result of a disputed charge, your commission from the sale is deducted from your account.

• Banners and Text Links:

We provide all associates with banner links and text links. Associates can use any or all of our links to connect to our web site.

We do not allow our associates to modify any material we supply to them and neither do we allow our associates to develop their own material, such as banners or text links. All associates are expected to link to the associate webpage and use marketing materials that we provide.

• Customer Statements:

The customers who purchase our product is our customer, not our associate's customer. The customer becomes ours when they make a purchase from us.

• Dispensation of Disputes:

We will try to resolve any problems or discrepancies you, our associate, may have over commissions dues within 10 business days of an email notification. All disputes can be directed to this special email address for immediate attention: ojr@ureach.com.

• Limitation of Liability:

Memory Impression Lingerie is not liable for any damages, direct or indirect, consequential or other types of damages, or any loss of revenue, arising in connection with this Agreement and/or our Affiliate Program. Our liability does not exceed the total referral fees payable to you under this Agreement.

• Copyright:

You are not allowed to publish our web site, or sales material, or any part of our sales orders on your web site. Doing so would be in violation of your Associate Agreement, and you will be terminated immediately.

We prohibit the reproduction of our Logo and other trademarks associated with our company on your web site. We prohibit the reproduction of anything not provided to you by us.

Associates are, however, allowed to post banners, links and web pages that we directly specify they can use. We reserve the right to dump associates for making false claims.

All materials provided by Memory Impression Lingerie to our associates are the property of Memory Impression and/or Memory Impression Lingerie.

• Independent Contractors:

All our associates are independent contractors and not employees or representatives of the company. We are not liable for any claims that our associates make and we are not liable for anything they do including spamming and shutting down a server.

ACKNOWLEDGEMENT

You acknowledge that you have read this Agreement in its entirety, and understand it and agree to all its terms and conditions. It is also to your understanding that we reserve the right to recruit associates and operate web sites that are similar to or compete directly with yours.
